VivaFemini Impact Fund – Donation Terms of Service
By making a donation to the VivaFemini Impact Fund, you agree to the following terms and conditions in their entirety:
1. Voluntary Contributions
All donations made to VivaFemini are voluntary and made without expectation of goods, services, or financial return. Your contribution is a gift intended to support the general mission of the organization.
2. Use of Funds and Discretionary Allocation
Your contribution will be used to support VivaFemini's mission of improving access to safe, affordable, and culturally relevant healthcare for women across Africa. Funds may be allocated across programs, medical outreach, technology operations, and social impact initiatives at VivaFemini's sole discretion. While we strive to honor the spirit of the fund, VivaFemini retains full and absolute control over the distribution of donated resources to meet the highest areas of need. VivaFemini reserves the right to determine, modify, or redirect impact initiatives at its sole discretion and is not obligated to allocate funds to any specific project, program, or outcome previously broadcasted or mentioned.
3. Non-Refund Policy and Bank Responsibility
All donations are final and non-refundable once successfully processed. If a duplicate transaction, technical error, or unauthorized charge occurs, donors must contact their respective financial institution or bank to initiate a resolution or chargeback. VivaFemini cannot guarantee nor facilitate refunds once funds have been cleared by the payment gateway, and we are not responsible for any bank charges, currency exchange fees, or interest incurred during the donation process.
4. Third-Party Payment Processing & Liability Waiver
Donations are processed through secure third-party payment gateways (e.g., Paystack). VivaFemini does not manage, own, or control the payment infrastructure and is not responsible for gateway failures, processing delays, downtime, or bank-side errors. By donating, you acknowledge that VivaFemini is not liable for any losses, fees, or data breaches occurring on third-party platforms. Your interaction with the payment gateway is governed by that provider's own terms and conditions.
5. Data Privacy & Compliance (NDPR)
Any personal information provided during the donation process, such as your email address, will be handled in accordance with our Privacy Policy and applicable data protection laws, including the Nigeria Data Protection Regulation (NDPR). We use this data to send transaction confirmations and impact updates; we do not sell or share your donor data with unauthorized third parties.
6. Accuracy of Information
You confirm that all information provided (including payment details and email address) is accurate and that you are authorized to use the selected payment method. VivaFemini is not responsible for errors or failed communications resulting from incorrect information provided by the donor.
7. Fraud, Anti-Money Laundering & Ethical Standards
VivaFemini reserves the right to decline, block, or report any donation suspected of fraud, unauthorized use, money laundering, terrorism financing, or any activity that violates applicable laws or ethical standards. By making a donation, you expressly confirm and warrant that the funds used are not derived from any illegal activity, including but not limited to fraud, corruption, theft, drug trafficking, terrorism financing, or any criminal enterprise. You further warrant that you are not acting on behalf of any individual or entity subject to sanctions or legal prohibitions under Nigerian law or international regulations, and that the donation does not violate any anti-money laundering (AML), counter-terrorism financing (CTF), or financial crime laws applicable to you or your jurisdiction. VivaFemini reserves the right at its sole discretion to request additional verification regarding the source of funds and may delay, block, or flag any transaction for regulatory review. We reserve the absolute right to report suspicious transactions to relevant financial institutions, regulators, or law enforcement authorities without prior notice to the donor, and to refuse or reverse any donation that raises compliance concerns. You agree that VivaFemini shall bear no liability at all for any action taken in good faith in connection with fraud prevention, regulatory compliance, or financial crime monitoring.
8. Total Limitation of Liability & Indemnity
To the fullest extent permitted by law, VivaFemini shall not be liable at all for anything—including any direct, indirect, incidental, consequential, or special damages arising from or related to your donation, transaction errors, delays, or third-party failures. By making a donation, you agree to indemnify, defend, and hold harmless VivaFemini, its founders, employees, partners, and affiliates from and against any and all claims, liabilities, damages, losses, or expenses arising out of or in connection with your donation, your use of the platform, or any breach of these terms.
9. No Guarantees, Warranties, or Representations
VivaFemini does not guarantee specific outcomes, impact results, or measurable returns from any donation. All impact reporting is provided for transparency purposes only and does not constitute a binding obligation, a warranty of success, or a promise of specific deliverables.
10. Severability and Entire Agreement
If any part of these terms is found to be invalid or unenforceable by a court of law, the remaining sections will continue to be in full force and effect. These terms constitute the entire agreement between the donor and VivaFemini regarding the Impact Fund.
11. Changes to Terms and Notifications
VivaFemini reserves the right to update or modify these terms at any time without prior individual notice. Continued use of the donation feature constitutes your explicit and binding acceptance of the most current version of these terms.
12. Governing Law & Jurisdiction
These terms shall be governed by, interpreted, and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located within Nigeria.
